1. Introduction and Acceptance

These Terms of Service ("Terms") govern the relationship between LawSupport, having its registered office at Stockerstrasse 45, 8002 Zürich, Switzerland ("LawSupport", "we", "us"), and any individual or entity ("Client", "you") who engages our services or uses our website at lawsupport.be.

By engaging our services, submitting a contact form, or using our website, you agree to be bound by these Terms. If you do not agree, please do not use our services or website.

2. Scope of Services

LawSupport provides corporate consulting services related to business operations in Belgium, including but not limited to:

Company registration and incorporation (BV/SRL, NV/SA, branches, subsidiaries)
Shelf company acquisition and transfer
Accounting, bookkeeping, and tax compliance services
Bank account opening assistance
Residence permit and visa application support
Representative office registration
Crypto and fintech licensing advisory

The specific scope, deliverables, and timeline for each engagement will be defined in a separate service agreement or engagement letter between LawSupport and the Client.

LawSupport provides corporate consulting services. We are not a law firm and do not provide legal advice, legal representation, or act as attorneys. Where legal advice is required, we will refer you to appropriately licensed professionals.

3. Client Obligations

The Client agrees to:

Provide accurate, complete, and timely information and documentation as requested
Respond to communications within reasonable timeframes to avoid delays
Comply with all applicable Belgian and international laws in connection with the services
Not use our services for any unlawful purpose, including money laundering, tax evasion, or fraud
Pay all fees in accordance with the agreed payment terms

Delays caused by the Client's failure to provide required information or documentation may result in extended timelines and additional fees.

4. Fees and Payment Terms

4.1 Fee Structure

Our fees are disclosed on our Pricing page and/or in individual service agreements. Fees may be structured as fixed fees, hourly rates, or a combination thereof, depending on the service.

4.2 Payment Schedule

A non-refundable deposit of 50% of the total estimated fee is due upon signing the service agreement
The remaining balance is due upon completion of the service or as specified in the service agreement
For ongoing services (e.g., accounting), invoices are issued monthly and payable within 14 days

4.3 Late Payment

Invoices not paid within the agreed payment period will accrue interest at a rate of 10% per annum in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions. A fixed compensation of EUR 40 for recovery costs may also apply.

4.4 Third-Party Costs

Government fees, notary fees, translation costs, apostille charges, and other third-party costs are not included in our fees unless explicitly stated. Such costs will be communicated in advance and invoiced separately.

5. Confidentiality

LawSupport will treat all information provided by the Client as confidential and will not disclose it to third parties except:

As necessary to perform the agreed services (e.g., filing with Belgian authorities)
As required by law, regulation, or court order
With the Client's prior written consent
To our professional advisors bound by confidentiality obligations

This confidentiality obligation survives the termination of the service agreement.

6. Intellectual Property

All documents, templates, processes, methodologies, and materials developed by LawSupport in the course of providing services remain the intellectual property of LawSupport, unless otherwise agreed in writing.

Documents prepared specifically for the Client (e.g., articles of association, applications) become the Client's property upon full payment of all applicable fees.

7. Limitation of Liability

7.1 Scope

LawSupport's total liability for any claims arising from or related to our services shall be limited to the total fees paid by the Client for the specific service giving rise to the claim.

7.2 Exclusions

LawSupport shall not be liable for:

Indirect, consequential, incidental, or punitive damages, including lost profits, lost business opportunities, or reputational damage
Delays or failures caused by the Client's failure to provide accurate or timely information
Decisions or actions taken by Belgian authorities, banks, or other third parties
Changes in Belgian law or regulation occurring after the date of our advice or service delivery
Losses arising from the Client's use of our services for purposes not disclosed to us

7.3 Force Majeure

Neither party shall be liable for any failure to perform its obligations where such failure results from circumstances beyond the reasonable control of that party, including but not limited to acts of government, natural disasters, pandemics, strikes, or system failures.

8. Termination

8.1 Termination by Client

The Client may terminate the service agreement at any time by written notice. Fees for work already completed and any non-recoverable third-party costs incurred will remain payable. The initial deposit is non-refundable.

8.2 Termination by LawSupport

LawSupport may terminate or suspend services if:

The Client fails to pay fees when due after a 14-day written reminder
The Client fails to provide required information or documentation within 30 days of a written request
The Client is in material breach of these Terms or the service agreement
Continuing the engagement would require LawSupport to act contrary to law or professional standards

8.3 Effect of Termination

Upon termination, LawSupport will deliver all completed work product to the Client (subject to full payment) and securely retain or destroy confidential information as required by law.

9. Anti-Money Laundering (AML) and KYC

LawSupport is subject to anti-money laundering regulations. We are required to:

Verify the identity of all clients and beneficial owners (Know Your Customer / KYC)
Monitor transactions for suspicious activity
Report any suspicious transactions to the Belgian Financial Intelligence Processing Unit (CTIF-CFI)

The Client agrees to cooperate fully with our AML/KYC procedures. Failure to provide requested identification documents may result in our inability to provide services.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and any service agreements are governed by and construed in accordance with Belgian law.

10.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium.

12. Amendments

LawSupport reserves the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. For existing clients, material changes will be communicated directly. Continued use of our services after such changes constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
